Please read these Terms of Service ("Terms") carefully before using the AppVoice website and SaaS application operated by AppVoice ("us", "we", or "our").
By accessing or using the Service, you agree to be bound by these Terms. If you disagree with any part of the terms, you may not access the Service.
While we strive to ensure that all information on our website and within our application is accurate and up-to-date, errors and omissions may occur. We do not guarantee the absolute accuracy, completeness, or timeliness of the information provided. We reserve the right to correct any errors, inaccuracies, or omissions and to change or update information at any time without prior notice.
When you create an account with us, you must provide information that is accurate, complete, and current at all times. Failure to do so constitutes a breach of the Terms, which may result in immediate termination of your account on our Service.
Some parts of the Service are billed on a subscription basis ("Subscription(s)"). You will be billed in advance on a recurring and periodic basis ("Billing Cycle"). Billing cycles are set on a monthly or annual basis.
EU Right of Withdrawal: If you are a consumer in the European Union, you normally have the right to cancel a contract within 14 days. However, by subscribing to our digital service and requesting immediate access, you expressly acknowledge and agree that the performance of the contract begins immediately and you thereby lose your right of withdrawal once the service has been fully performed or access has been granted.
You agree not to use the Service:
The Service and its original content, features, and functionality are and will remain the exclusive property of AppVoice and its licensors. The Service is protected by copyright, trademark, and other laws of both European and foreign countries.
We may terminate or suspend your account and bar access to the Service immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of the Terms.
If you wish to terminate your account, you may simply discontinue using the Service or delete your account through your settings page. Upon termination, your right to use the Service will immediately cease.
You agree to defend, indemnify, and hold harmless AppVoice and its licensee and licensors, and their employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees), resulting from or arising out of a) your use and access of the Service, by you or any person using your account and password, or b) a breach of these Terms.
To the maximum extent permitted by applicable law, AppVoice provides the Service "as is" and "as available" and assumes no liability or responsibility for any (i) errors, mistakes, or inaccuracies of content; (ii) personal injury or property damage, of any nature whatsoever, resulting from your access to or use of our Service; or (iii) any unauthorized access to or use of our secure servers and/or any and all personal information stored therein.
In no event shall AppVoice, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable to you for any direct, indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Service; (ii) any conduct or content of any third party on the Service; (iii) any content obtained from the Service; and (iv) unauthorized access, use, or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence), or any other legal theory, whether or not we have been informed of the possibility of such damage.
Nothing in these Terms excludes or limits our liability for death or personal injury arising from our negligence, or our fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited by European law.
We expressly disclaim any and all liability for the actions, omissions, products, and services of third parties.
Our Service may contain links to third-party web sites or services, or integrate with third-party applications (including but not limited to payment processors, authentication providers, data integration tools, and external APIs) that are not owned or controlled by AppVoice.
AppVoice has no control over, and assumes no responsibility for, the content, privacy policies, practices, uptime, or reliability of any third-party web sites or services. We do not warrant the offerings of any of these entities or individuals or their websites.
You acknowledge and agree that AppVoice shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such content, goods, or services available on or through any such third-party web sites or services.
These Terms shall be governed and construed in accordance with the laws of Ireland, without regard to its conflict of law provisions. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
If you have any concern or dispute about the Service, you agree to first try to resolve the dispute informally by contacting AppVoice.
EU Online Dispute Resolution: If you are a consumer in the European Union, you may use the European Commission's Online Dispute Resolution (ODR) platform to resolve disputes. You can access the platform here: https://ec.europa.eu/consumers/odr.
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material we will try to provide at least 30 days notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.
